Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Alambic Solutions inc. ("Scanable," "we," "us," or "our") website and its content (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms cover the public website only. Use of the Scanable platform and services is governed by a separate written agreement (our Master Subscription Agreement and related terms). In the event of a conflict, that agreement controls with respect to the services.1. Eligibility and acceptance
You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that, if you use the Site on behalf of an organization, you have authority to bind that organization to these Terms.
2. Changes to these Terms
We may modify these Terms at any time. The "Last updated" date above reflects the current version. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
3. Use of the Site
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own informational and business purposes, subject to these Terms.
4. Acceptable use
You agree not to:
- use the Site in any unlawful manner or for any unlawful purpose;
- access, scrape, or harvest data from the Site by automated means except as permitted by our
robots.txt; - attempt to gain unauthorized access to the Site, its systems, or networks;
- interfere with or disrupt the integrity or performance of the Site;
- reverse engineer or attempt to derive source code from the Site except to the extent permitted by law; or
- infringe our or any third party's intellectual property or other rights.
5. Intellectual property
The Site and all content, features, and functionality — including text, graphics, logos, and software — are owned by Scanable or its licensors and are protected by intellectual property laws. Except for the limited licence in these Terms, no rights are granted to you. "Scanable" and our logos are our trademarks and may not be used without our prior written permission.
6. Feedback
If you send us suggestions or feedback about the Site or our products, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation to you.
7. Third-party links
The Site may contain links to third-party websites and resources. We provide these for convenience only and do not endorse and are not responsible for their content, products, or practices. Accessing third-party sites is at your own risk.
8. Disclaimers
The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Content on the Site is for general informational purposes only and does not constitute a security assessment, audit, or guarantee of any kind. We do not warrant that the Site will be uninterrupted, secure, or error-free.
9. Limitation of liability
To the fullest extent permitted by law, Scanable and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Site. Our total aggregate liability arising out of or relating to the Site will not exceed CAD $100.
10. Indemnification
You agree to indemnify and hold harmless Scanable and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your violation of these Terms.
11. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in the Province of Quebec, Canada for any dispute arising out of or relating to these Terms or the Site.
12. General
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scanable regarding the Site. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
